Terms of Service

Thank you for your interest in Everkind Labs, Inc. (“Everkind,” “we,” or “us”) and our websites at https://everkind.app, along with our related websites (collectively, the “Websites”), mobile and web applications (the “Apps”), and other services provided by us (collectively, the “Service”). These Terms of Service are a legally binding contract between you and Everkind regarding your use of the Service.

BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING EVERKIND’S PRIVACY POLICY (TOGETHER WITH THESE TERMS OF SERVICE, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THESE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE.

SECTION 15 CONTAINS AN ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.

1. Service Overview

Everkind is a relationship assistant designed to help you nurture and maintain meaningful relationships. Through personalized insights, gentle reminders, and reflective tools, Everkind supports you in showing up thoughtfully for the people who matter most. The Service includes an in-app AI assistant (“Jules”) and uses artificial intelligence to analyze the information you provide and generate suggestions, summaries, reminders, and other content, as further described in Section 6. The AI assistant is a tool to help you understand and maintain your real-world relationships with other people; it is software, not a human companion, and it is not a substitute for professional care or human connection.

2. Accounts and Registration

To access most features of the Service, you must register for an account. When you register, you may be required to provide us with some information about yourself, such as your name and email address. You agree that the information you provide is accurate, complete, and not misleading, and that you will keep it up to date. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

3. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and use of the Service is in compliance with all applicable laws and regulations. The Service is intended solely for adults, and we do not direct it to, or knowingly permit its use by, anyone under 18 years of age.

4. Information About Other People

The Service lets you record and store information about other people, such as your friends, family, and contacts (“Contacts”), so that we can help you maintain those relationships. You are solely responsible for the information you choose to record about other people, and you represent and warrant that you have any rights, permissions, or lawful basis needed to provide that information to us and to have us process it as described in our Privacy Notice. You agree to use information about your Contacts only for your own personal relationship-management purposes, and not for any unlawful, harassing, or harmful purpose. If a Contact contacts us to access or delete information you have stored about them, you agree that we may respond as required by applicable law.

5. Licenses

Limited Right to Use the Service

Subject to your complete and ongoing compliance with these Terms, Everkind grants you, solely for your personal, non-commercial use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service.

License Restrictions

Except and solely to the extent such a restriction is impermissible under applicable law, you will not: (a) reproduce, translate, distribute, publicly display, or create derivative works of the Service; (b) make modifications to the Service; or (c) interfere with or circumvent any feature of the Service, including any security or access control mechanism.

Feedback

If you choose to provide input and suggestions regarding existing functionalities, problems with, or proposed modifications or improvements to the Service (“Feedback”), then you hereby grant Everkind an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and for any purpose.

Ownership; Proprietary Rights

The Service is owned and operated by Everkind. The visual interfaces, graphics, design, compilation, information, data, computer code, products, software, services, and all other elements of the Service are protected by intellectual property and other laws. Except as expressly authorized by Everkind, you may not make use of the Site Content.

6. Artificial Intelligence Features and No Professional Advice

The Service uses artificial intelligence, including third-party AI models, to analyze the information you provide and to generate insights, suggested messages, reminders, summaries, and other content (“AI Output”). Our in-app assistant (“Jules”) is an artificial-intelligence system, not a human, even when it communicates in a natural, conversational way. AI Output is generated automatically and may be inaccurate, incomplete, or not suited to your situation. You are responsible for reviewing AI Output and for any decisions you make based on it.

The Service is not a medical, mental-health, legal, financial, or other professional service, and AI Output is not professional advice. The Service is not a substitute for professional judgment or care, and it is not intended for use in any emergency or crisis. If you are experiencing a crisis or need professional help, contact a qualified professional or your local emergency services.

The Service may include features intended to recognize expressions of distress or crisis and to respond with supportive information, which may include third-party resources such as the 988 Suicide and Crisis Lifeline (in the United States). These features are provided on a best-effort basis, may not detect every situation, and are not a substitute for professional or emergency services. If you or someone else may be in danger, call your local emergency number (such as 911 in the United States) or 988 immediately.

7. Subscriptions, Pricing, and Payment

Some features of the Service require a paid subscription. We may also offer a free tier of the Service (see Section 8). Before you are charged, you will have an opportunity to review the applicable price and subscription term. Unless otherwise specifically provided, all fees are in U.S. dollars and are non-refundable except as required by law or by the rules of the app store through which you purchased.

Subscriptions are sold through the Apple App Store and may be managed for us by our subscription provider, RevenueCat. Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew for the same term at the then-current price unless you cancel at least 24 hours before the end of the current period. Your Apple ID account is charged for renewal within 24 hours before the end of the current period. You can manage or cancel your subscription, and turn off auto-renewal, in your App Store account settings. Deleting the app does not cancel your subscription.

Everkind reserves the right to determine and change pricing for the Service with advance notice. Refund requests for purchases made through the Apple App Store are handled by Apple in accordance with Apple’s policies.

8. Advertising

We use analytics tools to operate and improve the Service, as described in our Privacy Notice. We do not currently display advertisements in the Service. We may in the future make available a free tier of the Service that is supported by advertising; if we do, we will update our Privacy Notice and provide any notices or choices required by law before we begin, and your interactions with any advertisements will be governed by the applicable third parties’ terms and policies.

9. Third-Party Services

Everkind may provide tools that enable you to link your content and information to third-party services, and the Service relies on third-party providers to function. Third-party services are not under Everkind’s control, and Everkind is not responsible for any third-party service’s use of your information. Please be sure to review the terms and privacy policy of any third-party services before you share information with them.

10. User Content

Certain features of the Service may permit you to submit, upload, or otherwise transmit content (“User Content”). As between you and Everkind, you retain any copyright and other proprietary rights that you may hold in your User Content.

By uploading User Content to or via the Service, you grant Everkind a worldwide, non-exclusive, royalty-free right and license to host, store, use, reproduce, modify, adapt, run, copy, and translate your User Content, in each case solely as necessary to operate, provide, secure, and improve the Service for you. This license ends when your User Content is deleted from the Service, except for content retained as described in our Privacy Notice or required by law.

11. Prohibited Conduct

By using the Service, you agree not to:

  • Use the Service for any illegal purpose or in violation of any law;
  • Record or process information about another person without any rights or permissions required by law;
  • Violate or infringe any third-party intellectual property right;
  • Interfere with security-related features of the Service;
  • Interfere with the operation of the Service or any user’s enjoyment of it;
  • Use the Service to send unauthorized advertisements or spam;
  • Use the Service to upload content containing profane or sexually explicit material, violence, or other inappropriate content;
  • Engage in or promote harassment, discrimination, hate speech, or any form of abusive behavior;
  • Perform any fraudulent activity including impersonating any person or entity;
  • Use any automated script or software to scrape or build a database from the Service; or
  • Attempt to do any of the acts described above or assist any person in doing so.

12. Modification of These Terms

We may change these Terms from time to time. For existing users, material revisions will be effective 30 days after posting or notice unless otherwise stated. If you do not agree to the modified Terms, you should discontinue your use of the Service.

13. Termination

We may, in our sole discretion, at any time and for any or no reason, suspend or terminate your account with or without prior notice. You may stop using the Service and delete your account at any time from within the app. Upon termination of your account, your right to use the Service will immediately cease, and we will handle your data as described in our Privacy Notice.

14. Disclaimers; No Warranties

THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING AI OUTPUT, ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. EVERKIND DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING ANY WARRANTY OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

IN NO EVENT WILL EVERKIND BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE. EVERKIND’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID EVERKIND FOR ACCESS TO AND USE OF THE SERVICE.

16. Indemnity

You will indemnify and hold Everkind, its subsidiaries, affiliates, officers, agents, employees, partners, and licensors harmless from and against any claim, demand, loss, damage, cost, or liability (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, your User Content, information you record about other people, your violation of these Terms, or your violation of any rights of another.

17. Dispute Resolution and Arbitration

THESE TERMS PROVIDE THAT ALL DISPUTES BETWEEN YOU AND EVERKIND WILL BE RESOLVED BY BINDING ARBITRATION. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT TO ASSERT OR DEFEND YOUR RIGHTS UNDER THESE TERMS (EXCEPT FOR MATTERS THAT MAY BE TAKEN TO SMALL CLAIMS COURT). YOUR RIGHTS WILL BE DETERMINED BY A NEUTRAL ARBITRATOR AND NOT A JUDGE OR JURY, AND YOUR CLAIMS CANNOT BE BROUGHT AS A CLASS ACTION.

Before initiating arbitration, you and Everkind agree to first try to resolve the dispute informally by contacting legal@everkind.app and allowing 60 days to reach a resolution. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@everkind.app.

18. Apple App Store

The following applies to the extent you obtained the App from the Apple App Store. These Terms are between you and Everkind only, and not with Apple Inc. (“Apple”), and Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the App, and any claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Everkind’s responsibility. Apple is not responsible for addressing any claims by you or any third party relating to the App, including product-liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims arising under consumer-protection or similar legislation. Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual-property claim relating to the App. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

19. Governing Law

These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of California, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs the arbitration provisions in Section 17. Subject to that section, the state and federal courts located in Orange County, California will have exclusive jurisdiction over any dispute not subject to arbitration.

20. Miscellaneous

These Terms, together with the Privacy Notice and any other agreements expressly incorporated by reference, are the entire and exclusive understanding and agreement between you and Everkind regarding your use of the Service. You may not assign or transfer these Terms without Everkind’s prior written consent. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions will remain in full force and effect.
